JOB SUMMARY

The Marriott International Law Department supports the Company|s lodging
business. The Europe offices provide legal services for development and
lodging operations of all Marriott lodging products in Europe. This newly
created position will report to the Vice President & Senior Counsel –
Operations & Asset Management. This position is located in London.

The position will be responsible for providing legal services to support the
operations and asset management of all Marriott branded lodging products|
including owned| leased| franchised and managed| throughout Europe. This
position will be responsible for providing legal advice and guidance as well
as drafting and negotiating contracts in a wide variety of contexts|
including| system wide-initiatives| continent initiatives| above-property
programs and services| asset management| work outs| restructurings| contract
renewals and terminations| sales and marketing| vendors| consultants| and
retail and commercial tenants at hotels. The work principally takes the form
of providing commercial transactional support (such as negotiating| drafting
and interpreting numerous types of contracts) and providing legal guidance on
a variety of matters where knowledge of the hotel industry| Marriott’s
strategic objectives| various hotel-related disciplines| and certain legal
subjects is essential.

This position will require an ability to deal with a broad array of topics|
including system wide initiatives| hotel operations| asset management|
employment| sales and marketing| debt and equity financing| risk-management|
and tax. This position will require an independent and creative attorney with
the ability to manage| structure| negotiate| draft and execute multiple
complex transactions; supervise outside counsel; understand and resolve local
law issues; manage project budgets; work effectively with owners| franchisees|
vendors| consultants| clients and lenders across varied cultures and legal
environments| and coordinate employment| tax| insurance and intellectual
property issues within Marriott.

CANDIDATE PROFILE

Excellent academic record (both undergraduate and law school) and at least 6 years in a well-regarded law firm or comparable corporate environment. If licensed in the United States| then active US Bar membership is required| otherwise| a practicing certificate from an appropriate jurisdiction is required;

Strong leadership skills| good judgment| and the ability to think strategically both from a business and legal perspective;

Demonstrated ability to take ownership of and solve problems| and to expeditiously provide recommendations which are consistent with good business practices and common sense;

Ability to think creatively| to supervise multiple and complex matters| and to work independently and effectively with clients| peers| and other parties;

Outstanding analytical| contract drafting and negotiating skills;

Ability to integrate and balance priorities| work activities and resources for the benefit of multiple key stakeholder

Constructive approach to dealing with conflict| and ability to influence and achieve successful results without damaging relationships;

Strong interpersonal skills and ability to interact effectively| work diplomatically| and foster relationships with individuals at all levels;

Committed to maintaining the highest ethical standards and acting with integrity;

Self-starter with a high degree of resourcefulness| high energy| drive| and poise under pressure;

Excellent written and oral communication skills in English;

Experience in Employment or Privacy matters advantageous;

Fluency in one other European language in addition to English advantageous;

Flexibility to travel.

SPECIFIC DUTIES

_The primary responsibilities of this attorney will be:_

Support the operations and asset management of all Marriott branded lodging products| including owned| leased| franchised and managed| throughout Europe;

Reviewing| interpreting and advising on management and franchise agreements and coordinating with other departments;

Represent Marriott with respect to existing management and franchise agreement issues such as restructurings| workouts| hotel sales| financings| and contract interpretations| amendments| and terminations;

Provide legal support on particular contracts or specific issues as part of a broader team that provides general legal guidance to certain corporate departments or disciplines on various system-wide issues and initiatives;

Provide general legal guidance to local hotels| General Managers| and Area Vice Presidents related to operations| finance| and other legal issues;

Upon request| provide support and assistance for specific projects which have impact and application across multiple hotel properties| including structuring above-property programs and services;

Structure| draft and negotiate a wide variety of contracts including| sales and marketing| vendors| consultants| procurement| and food & beverage agreements.

Provide such other support as may be requested including with respect to Employment and Privacy matters.
